PREAMBLE
Considering the Canada Not-for-profit Corporations Act,
Considering the Canada Corporations Regulations,
Aware of the general situation in Sub-Saharan Africa, and in Burkina Faso in particular,
Aware of the urgent need for a paradigm shift in seeking solutions to the multidimensional crisis in the Central Sahel,
Convinced of the important role that Burkinabè living in Canada and any other persons can play in the pursuit of peace and social justice among peoples,
We, the founding members, have decided as follows:
CHAPTER I
GENERAL PROVISIONS
Article 1
Nature and Applicable Legislation
An association is created between Burkinabè and Canadians, governed by Canadian federal and provincial law, by these Statutes, and by the Internal Regulations.
The association is non-profit and apolitical.
Article 2
Name and Head Office
The association is called Amicale Burkina Faso–Canada pour la Paix, abbreviated ABC-Paix.
The head office is located in Toronto, Ontario, Canada.
It may be moved to another location in Canada by decision of the General Assembly
Article 3
Goals and Principles of Action
The purpose of the Amicale is to generate and promote innovative ideas and practices in the pursuit of peace and social justice among peoples.
To this end, the Amicale aims to:

Conduct epistemological reflection on the foundations and challenges of Afro-global dynamics,
-
Initiate and support development projects for Africa, particularly Burkina Faso,
-
Provide Burkinabè living in Canada and Canadian friends with a framework for constructive dialogue and debate,
-
Serve as an effective platform to identify priorities capable of providing solutions for the well-being of populations.
CHAPITRE II
MEMBERS OF ABC-PAIX
Article 4
Categories of Members
The Amicale is composed of active members, associate members, and honorary members.
Article 5
Active Membership
Any Burkinabè living in Canada or any other person may become an active member by submitting a formal application and obtaining approval from the Executive Committee.
Membership is confirmed through the issuance of a membership card upon payment of the annual dues.
Article 6
Associate Membership
An associate member is any individual or legal entity that has made a substantial contribution to the Amicale’s efforts in achieving its mission and objectives.
The person must accept this status.
Associate members have no decision-making power, receive an associate membership card, and are exempt from paying dues.ation.
Article 7
Honorary Membership
An honorary member may be any person who has rendered particular service to the Amicale or has significantly contributed to its mission.
Honorary membership is granted by the General Assembly with at least 90% of votes in favor, upon proposal by the Executive Committee.
This status must be expressly accepted.
Honorary members have no decision-making power, are exempt from dues, and receive an honorary membership card.
Article 8
Loss of Membership
Membership may be lost in the following cases:
Resignation, duly recorded by the Executive Committee (no resignation is presumed);

Non-payment of dues;

Death (no position or status is hereditary within the Amicale);

Serious misconduct, as determined by the Executive Committee. The decision of exclusion falls under the authority of the General Assembly
Article 9
Effect of Withdrawal
The withdrawal of one or more members, for any reason, does not affect the existence of the Amicale.
CHAPTER III
ORGANIZATIONAL STRUCTURE
Article 10
Bodies
ABC-Paix is composed of:

Two Auditors
Article 11
Decision-Making Majority
Decisions of the General Assembly are made by a simple majority vote.
Article 12
Quorum
The General Assembly (ordinary or extraordinary) is valid when 51% of members are present.
If this quorum is not met, the session is adjourned. A new session shall be held within one month with the same agenda, and all decisions made at that session are valid regardless of attendance.
CHAPTER IV
GENERAL ASSEMBLIES
Article 13
Powers of the General Assembly
The General Assembly is the supreme body of the Amicale and includes all members.
Its decisions are binding on all members and other organs of ABC-Paix.
It deliberates on items on its agenda and, in particular:
Reviews activity reports, financial reports, and the overall situation of the Amicale;
Elects members of other bodies;
Rules on the admission of new members and possible extensions of activities;
Has the power to suspend, exclude, or dismiss members.
Article 14
Ordinary Sessions
The General Assembly meets in ordinary session twice a year.
Article 15
Extraordinary Sessions
The General Assembly may be convened in extraordinary session at any time by the Executive Committee, either on its own initiative or at the request of at least one-quarter (1/4) of active members.
Article 16
Representation at Assemblies
Any member may be represented by another member through written authorization.
A proxy may hold no more than two powers in addition to their own.
A member may not be represented at two consecutive assemblies.
Votes cast by the proxy on behalf of the member are final.
CHAPTER V
BOARD OF DIRECTORS
Article 17
Composition
The Board of Directors consists of the nine founding members.
With the approval of the General Assembly, it may modify its composition by majority vote.
Article 18
Powers of the Board
The Board has full authority to manage the day-to-day affairs of the Amicale. It may:

Borrow funds,

Receive or solicit donations, gifts, and bequests to promote the organization’s goals,

Authorize expenditures and, by resolution, permit members to hire employees and pay salaries.
CHAPTER VI
EXECUTIVE COMMITTEE
Article 19
Composition and Term
The Executive Committee is composed of a President, a Vice-President, a Secretary General, and a Treasurer General.
They are elected by the General Assembly for a renewable two-year term.
Article 20
President and Vice-President
The President and Vice-President are elected among active members.
They must be dynamic, open-minded, morally upright, and dedicated to defending the interests of the Amicale.
The President represents and signs on behalf of the Amicale in civil, administrative, and legal matters.
In case of incapacity, the Vice-President assumes the President’s duties.
CHAPTER VII
AUDITORS
Article 21
Appointment
The General Assembly appoints two auditors for a non-renewable one-year term to oversee the Amicale’s financial management.
Article 22
Report
The auditors must submit a detailed report to the General Assembly.
CHAPTER VIII
MANAGEMENT OF RESOURCES
Article 23
Resources
The Amicale’s resources include:

Mandatory membership dues,
-
Voluntary contributions and services rendered,
-
Revenue from sales of goods or services,
-
Loans contracted on behalf of the Association,
-
Donations, legacies, and grants accepted by the Association,
-
Any other lawful source of funding under Canadian law.
Article 24
Membership Dues
The annual membership fee is determined by the General Assembly, which may adjust it according to needs.
The founding General Assembly sets the fee for the first year.
Article 25
Legal Liability
Any legal commitments made in the name of the Amicale affect only its assets.
No individual member is personally liable.
Article 26
Donations and Grants
All financial or material contributions (donations, bequests, or grants) must be recorded by the Treasurer.
The Executive Committee reserves the right to refuse any such contribution.
CHAPTER IX
FINAL PROVISIONS
Article 27
Dissolution
The Amicale may be dissolved by decision of the General Assembly, upon proposal of the Executive Committee.
A quorum of 90% of members is required, and the decision must be approved by 90% of votes cast.
The resolution must specify the exact date of dissolution.
Article 28
Disposal of Assets
In the event of dissolution, after all debts and liabilities are settled, remaining assets will be transferred to other registered charitable organizations in Canada with similar objectives.
Article 29
Amendments
These Statutes may be amended by a 90% majority vote of the General Assembly.
Amendments may be proposed by the Executive Committee or by at least one-third (1/3) of active members.
Article 30
Registration
The administrative procedures required to obtain the Amicale’s legal status shall be completed by the President, Vice-President, or Secretary General, as authorized by the President.
Article 33
Founding General Assembly
These Statutes shall enter into force after being approved by a simple majority vote of the Founding General Assembly.
The first Executive Committee members of ABC-Paix shall be appointed by this Assembly.
